1. Agreement
These Terms & Conditions ("Terms") govern access to and use of the QDS Routes platform and related services (the "Service") provided by QuantumData Strategy, Lda. ("QDS", "we", "us"), a company incorporated in Portugal (registered office Rua do Lago de Prata, 16, C5, Belas «postal code TO CONFIRM»; NIPC, same as the NIF, 517874571). By creating an account, signing an order form, or using the Service, the organisation you represent (the "Customer", "you") agrees to these Terms.
2. Definitions
- Service — the QDS Routes platform, websites, APIs and related services.
- Authorised Users — individuals the Customer permits to use the Service under its account.
- Customer Data — data the Customer or its Authorised Users submit to the Service.
- Order — an order form, statement of work (SOW), quote or online subscription selection that references these Terms.
- Subscription — a recurring, self-serve plan purchased through the Service.
3. Eligibility
The Service is offered to businesses and professional users only. By accepting these Terms you confirm you are at least 18 and have authority to bind the Customer.
4. Accounts and security
Authentication is provided via Amazon Cognito. You are responsible for keeping credentials secure, for activity under your account, and for ensuring your Authorised Users comply with these Terms. Notify us promptly of any unauthorised use.
5. The Service and licence
Subject to these Terms and payment of applicable fees, QDS grants the Customer a non-exclusive, non-transferable right to access and use the Service for its internal business operations during the term. We may update, improve or modify features over time.
6. Acceptable use
You must not: use the Service unlawfully or to infringe third-party rights; upload malicious code; attempt to gain unauthorised access; reverse engineer, resell or provide the Service to third parties except as permitted; or use it to build a competing product. We may suspend access for serious or repeated breaches.
7. Customer Data and data protection
As between the parties, the Customer owns its Customer Data and is the controller of any personal data within it; QDS acts as processor and processes such data only to provide the Service and on the Customer's documented instructions. The Customer is responsible for having a lawful basis to upload third-party personal data (for example its drivers' and recipients' details). Our processing is governed by a Data Processing Agreement (available on request and incorporated into these Terms), and our Privacy Policy describes how we handle data for which we are controller.
8. Commercial terms
QDS is offered under two models. The applicable model and fees are set out in your Order.
8.1 Custom engagements (scoped engagements)
For scoped engagements, fees, duration, scope and any service levels are defined in an Order Form or SOW. Unless the Order states otherwise, fees are invoiced as set out in the Order and are payable within «30 days» of invoice. Fees are exclusive of VAT and other applicable taxes.
8.2 Self-serve subscriptions
Where you purchase a Subscription:
- Plans & fees — as displayed at purchase. Fees are exclusive of VAT unless stated.
- Billing & renewal — Subscriptions are billed «monthly/annually» in advance and renew automatically for successive periods unless cancelled before the renewal date.
- Payment — once self-serve Subscriptions are available, payment will be processed by Stripe (you authorise recurring charges to your payment method) and certified invoices will be issued via InvoiceXpress in accordance with Portuguese law.
- Trial — «if offered, trial length and conditions to be defined».
- Cancellation — you may cancel at any time, effective at the end of the current paid period; access continues until then.
- Refunds — «refund policy to be defined». Statutory rights are unaffected.
- Price changes — we may change Subscription pricing on at least «30 days» notice, effective from the next renewal.
Late or failed payments may result in suspension after notice.
9. Third-party services and open data
The Service uses OpenStreetMap data for routing, geocoding and map tiles; map displays include the attribution "© OpenStreetMap contributors". Optional AI features rely on third-party providers. Your use of any third-party service is subject to that provider's terms.
10. Intellectual property
QDS and its licensors own all rights in the Service, its software and content (excluding Customer Data and open-source/third-party components under their own licences). The Customer retains all rights in its Customer Data and grants QDS the limited rights needed to provide the Service.
11. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms, except where disclosure is required by law.
12. Warranties and disclaimers
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and "as available", and we disclaim all other warranties to the fullest extent permitted by law, including fitness for a particular purpose and uninterrupted or error-free operation. Route optimisation results are decision-support outputs; the Customer remains responsible for its operational decisions.
13. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or loss of profit, revenue or data. QDS's total aggregate liability arising out of or relating to the Service is limited to «the amount to be defined — e.g. the fees paid in the 12 months before the claim». Nothing limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, wilful misconduct or gross negligence (Articles 809 and 800(2) of the Portuguese Civil Code), liability under Article 82 GDPR (not limitable), or mandatory consumer rights.
14. Indemnification
The Customer will indemnify QDS against third-party claims arising from its Customer Data or its use of the Service in breach of these Terms, subject to «mutual indemnity terms to be confirmed by counsel».
15. Term, suspension and termination
These Terms apply while you use the Service or have an active Order or Subscription. Either party may terminate for material breach not cured within «14 days» of notice. On termination, your right to use the Service ends; you may export Customer Data for «30 days», after which we may delete it (subject to legal retention and §7 of the Privacy Policy).
16. Availability and support
We aim to provide a reliable Service but, unless an Order specifies a service-level agreement, the Service is provided on an "as available" basis. Any uptime commitments and support response targets are «to be defined per plan/Order».
17. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control.
18. Changes to the Service or these Terms
We may modify the Service and update these Terms. We will post the updated Terms here and revise the "Last updated" date; material changes will be notified. Continued use after changes take effect constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of Portugal. The courts of «Lisbon — to be confirmed», Portugal have exclusive jurisdiction over any dispute, without prejudice to any mandatory rights you may have.
20. General
These Terms (with any Order and the DPA) are the entire agreement between the parties. If any provision is unenforceable, the rest remains in effect. We may assign these Terms to an affiliate or successor. Failure to enforce a right is not a waiver. These Terms are provided in English and Portuguese; in case of conflict, the Portuguese version prevails.
